'The Client' means the company or individual who has agreed to take out work with Positive Solutions. By entering into any Contract or Agreement with Positive Solutions for products and/ or services to be provided, you hereby agree to abide by, comply with and be legally bound by the policies, terms and conditions hereafter set forth (these 'Terms and Conditions').
We will begin work upon the Client's written, emailed or oral approval of the estimate and this will constitute an agreement between us. The Client agrees to pay Positive Solutions in accordance with the terms specified herein.
Quotations/ estimates are valid for 30 days from the date on the estimate. Prices quoted are exclusive of VAT.
Any photo images provided by Positive Solutions, not already included and set out in the quotation, will be charged at £20 per image.
For new Clients, an advance of 50% of the total cost of the project is required before work can commence. After work commences this is non-refundable. Subsequent invoices are payable within 30 days from date of invoice. We reserve the right to issue interim monthly invoices until such time as work is complete. Similarly, where a job is held (pending approval for printing by the Client) we reserve the right to invoice for design, images purchased and any copywriting supplied by Positive Solutions after 28 days. The Client agrees that any alterations required over and above the two amends rounds which are covered by the original quotation, will be liable to separate charges, charged at a flat rate of £35 per hour.
If for whatever reason the customer cancels any work before completion, or decides not to print or publish completed designs the customer will still be liable for any design fees (or part thereof) and also any expenses incurred.Ê
It is the Client's responsibility to check proofs carefully for accuracy in all respects. Positive Solutions cannot be held responsible for any inaccuracies or errors in a design that has been signed off by The Client. The Client is fully responsible for final proof and layout approval prior to the printing process or online development. Positive Solutions is not liable for errors in a final product caused by any of the following reasons: ?Misspelling Errors?Punctuation Errors?Grammar Errors?Graphics Orientation or Placement?Incorrect Fonts Usage
By supplying images, texts or similar to Positive Solutions for inclusion in the Client's chosen medium, the Client declares that it holds the appropriate copyright and/or trademark permissions. The Client agrees to fully indemnify Positive Solutions against any claims, losses, damage or expenses resulting from the Client not having obtained all required copyright. All images must be provided in minimum of 300 DPI. Positive Solutions is not responsible for images printed as poor quality if supplied by The Client.
With the exception of this supplied matter, any artwork, images or text supplied and/or designed by Positive Solutions on behalf of the Client, will remain the property of Positive Solutions until paid for in full by the Client. Where Positive Solutions have produced design, the Client is only entitled to use this design for items printed by Positive Solutions. Low resolution proofing pdf files are provided only for approval purposes, they may not be copied or used in any other way or for any other purpose. The Client may request in writing from Positive Solutions the necessary permission to use designs supplied (for which Positive Solutions holds the copyright) for materials in forms other than which were paid for in full by the Client. Such permission must be obtained in writing before Positive Solutions will allow any of the materials or designs to be used and a price to release such artwork and designs will be provided by Positive Solutions at this time. When producing full colour printed materials, every effort will be made to obtain the best possible colour reproduction on Client's work but because of the nature of the processes involved, Positive Solutions shall not be required to guarantee an exact match in colour of texture between any original colour photograph or printed material and the newly printed article. Please note that colour will recreate differently according to the substrate that is being printed upon. The application of lamination will also affect the appearance of printed colours. Positive Solutions are not liable for the final colour appearance. Clients who require an exact colour match must request a colour proof in writing when placing the order. This will be charged as an extra.
The Client will accept any underages or overages of up to 3% in line with Printing Trade Standards. Each printed product is usually shipped with a few pieces free of charge. However if exact quantities are required we suggest ordering at least 3% over the required quantity.
In no event shall Positive Solutions be liable for any lost data or content, lost profits, business interruption or any indirect, incidental, special, consequential loss or damage of any kind arising out of or relating to the materials and/ or the services provided by Positive Solutions. Nor shall they accept liability for any claim for an amount in excess of the agreed price for the specific work produced for the Client. The services and work produced by Positive Solutions for the Client are sold as is.
Positive Solutions shall be under no liability if they are unable to carry out the provision of the Contract for any reason beyond their control including (without limiting the foregoing) Act of God; legislation; war; fire; flood; drought; failure of power supply; lock out; strike or other action taken by employees or employees of any suppliers or furtherance of a dispute or owing to any inability to procure materials required for the performance of the contract. Deadlines specified will only be met if Client keeps to the agreed production schedule by providing timely copy as planned.
At your request we will purchase media space for your advertising purposes, on your behalf and invoice you accordingly. Positive Solutions cannot be held liable for advertising which does not appear on a particular time/date, issue or a specific position.
Positive Solutions retains the perpetual, royalty-free rights to use any and all products developed by Positive Solutions for display and self-promotional purposes.
